The Regulation on Corporate Governance

The Board of Directors is the governing body of the Kazakh National Women's Teacher Training University, which provides General management of the University's activities, with the exception of issues referred by Law and Charter to the competence of the Sole shareholder. The Board of Directors, when exercising its powers, is guided by the norms of the current legislation of the Republic of Kazakhstan, the company's Charter, its Regulations, and decisions of the Sole shareholder.
Corporate Secretary
The position of Corporate Secretary is introduced to ensure organization of activities of the Board of Directors, the compliance by bodies and officials of the University rules and procedures of corporate governance guaranteeing the rights and interests of the Sole shareholder and Board of Directors. The corporate Secretary is a full-time employee of the University and performs his duties on a full-time basis. The corporate Secretary is accountable to the Board of Directors and the Chairman of the Board of Directors. The corporate Secretary performs its activities in accordance with the legislation of the Republic of Kazakhstan, the company's Charter, the Regulations on the Board of Directors and other internal documents of the University, as well as decisions of the Sole shareholder and the Board of Directors.
Internal audit service
The internal audit service (auditor) monitors the financial and economic activities of the University and the execution of corporate governance documents, develops a risk management system and provides advice.
The internal audit service (auditor) reports directly to the Board of Directors and reports to it on its work. The tasks and functions, rights, responsibilities and procedures of the internal audit Service are determined by the Regulations on the internal audit Service of the University, approved by the Board of Directors.
Employees of the internal audit Service cannot be elected to the Board of Directors and Executive body.
